Any claims relating to the information or services available on the Website will be governed by the laws of Georgia, excluding the application of its conflicts of law rules.  If any provision of these Terms of Use are held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.  Exhibitravel.com's failure to act with respect to any failure by you or others to comply with these Terms of Use does not waive Exhibitravel.com's right to act with respect to subsequent or similar failures.  These Terms of Use set forth the entire understanding and agreement between you and Exhibitravel.com with respect to the subject matter hereof.  Notwithstanding the foregoing, if you desire to use certain additional services available on the Website, supplemental terms and conditions may apply.

VIOLATIONS AND ADDITIONAL POLICIES
Exhibitravel.com reserves the right to seek all remedies available at law and in equity for violations of the rules and regulations set forth on the Website, including the right to block access from a particular Internet address to the Website. 

PRIVACY POLICY
By agreeing to these terms, you agree that Exhibitravel.com may use your information as described in our Privacy Policy.

INDIVIDUAL BOOKING POLICY
Clients acknowledge that Exhibitravel.com pre negotiates certain room rates with hotel suppliers to facilitate the booking of reservations on your behalf. The room rate displayed on the Website is a combination of the pre–negotiated room rate for rooms reserved on your behalf by Exhibitravel.com plus tax recovery charges. Clients authorize Exhibitravel.com to book reservations for the total reservation price, which includes the room rate displayed on the Website, plus tax recovery charges. Client agrees that your credit card will be charged by Exhibitravel.com for the total reservation price. Upon submitting your reservation request you authorize Exhibitravel.com to facilitate hotel reservations on your behalf, including making payment arrangements with hotel suppliers. Clients acknowledge that Exhibitravel.com does not collect taxes for remittance to applicable taxing authorities. The tax recovery charges on prepaid hotel transactions are a recovery of the estimated transaction taxes (e.g. sales and use, occupancy, room tax, excise tax, value added tax, etc) that Exhibitravel.com pays to the hotel supplier in connection with your hotel reservations. The hotel suppliers invoice Exhibitravel.com for tax amounts. The Hotel suppliers remit applicable taxes to the applicable taxing jurisdictions. Exhibitravel.com does not act as co–vendors with the supplier with whom we book or reserve our customer's travel arrangements. Taxability and the appropriate tax rate vary greatly by location. The actual tax amounts paid by Exhibitravel.com to the hotel suppliers may vary from the tax recovery charge amounts, depending upon the rates, taxability, etc. in effect at the time of the actual use of the hotel by our customers.

Clients may cancel or change your prepaid hotel reservation, but you will be charged the cancellation or change fee indicated in the rules and restrictions for the hotel reservation. In addition, if you do not cancel or change your reservation before the cancellation policy period applicable to the hotel you reserved, which varies by hotel (usually 24 to 72 hours) prior to your date of arrival), you will be subject to a charge of applicable nightly rates, tax recovery charges and service fees. In the event you do not show for the first night of the reservation and plan to check–in for subsequent nights in your reservation, you must confirm the reservation changes with Exhibitravel.com or its subsidiary, as appropriate, no later than 10 days prior to arrival to prevent cancellation of your reservation. Clients must make refund requests for no-shows or early checkouts within 60 days after checkout.

Clients agree to pay any cancellation or change fees that you incur. In limited cases, some hotels do not permit changes to or cancellations of reservations after they are made, as indicated in the rules and restrictions for the hotel reservation. You agree to abide by the terms and conditions imposed with respect to your prepaid hotel reservations.

GROUP BOOKING POLICY

ROOM NIGHT ATTRITION
Exhibitravel.com is relying upon clients use of the Room Night Commitment. Client agrees that a loss will be incurred by Exhibitravel.com if client's actual usage is less than 90% of the Room Night Commitment.

If client's actual usage is less than 90% of the Room Night Commitment, client agrees to pay, as liquidated damages and not as a penalty, the difference between 90% of the Room Night Commitment and Exhibitravel.com's actual usage, multiplied by the average group room rate, plus applicable taxes.

CUT OFF DATE
Reservations by attendees must be received 14 days prior to arrival. At the Cut Off Date, Exhibitravel.com will review the reservation pick up for the Event, release the unreserved rooms for general sale, and determine whether or not it can accept reservations based on a space and rate available basis at the clients group rate after this date.

METHOD OF RESERVATIONS
Reservations for the Event will be made by a rooming list. Client will forward its rooming list 14 days prior to arrival.

BILLING ARRANGEMENTS
The following billing arrangements apply: Room and Applicle Taxes, Individuals are responsible for Incidental Charges.

PAYMENT BY CREDIT CARD OR COMPANY CHECK
If client wishes to pay any portion of its obligation by credit card or company check, the credit card information must be submitted to our group reservations specialist by contacting 1-866-368-3752 or via email at groups@Exhibitravel.com.com

Prior to the execution of this agreement client shall provide Exhibitravel.com with credit card authorization information. A Credit Card Information Request e-mail will be sent to the e-mail address provided by the client.

This process must also be followed if direct billing has not been approved and the Master Account charges will be paid by credit card or company check.

Client agrees that Exhibitravel.com may charge to this credit card any payment as required under this Group Sales Agreement.

CANCELLATION
Client agrees that if it cancels it will pay Exhibitravel.com 90% of the total room night commitment, plus applicable taxes, within 30 days after cancellation as a reasonable estimate of the harm the cancellation will cause Exhibitravel.com. Exhibitravel.com agrees that after receiving this payment, it will not seek additional damages.

CHANGES, ADDITIONS, STIPULATIONS, OR LINING OUT
Any changes, additions, stipulations or deletions including corrective lining out by either client or Exhibitravel.com will not be considered agreed to or binding on the other unless such modifications have been initialed or otherwise approved in writing by the other.

COMPLIANCE WITH LAW
This Agreement is subject to all applicable federal, state, and local laws, including health and safety codes, alcoholic beverage control laws, disability laws, federal anti-terrorism laws and regulations, and the like. Client and Exhibitravel.com agree to cooperate with each other to ensure compliance with such laws.

IMPOSSIBILITY
The performance of this Agreement is subject to termination without liability upon the occurrence of any circumstance beyond the control of either party such as acts of God, war, government regulations, disaster, strikes (except those involving the employees or agents of the party seeking the protection of this clause), civil disorder, or curtailment of transportation facilities to the extent that such circumstance makes it illegal or impossible to provide or use the Hotel facilities. The ability to terminate this Agreement without liability pursuant to this paragraph is conditioned upon delivery of written notice to the other party setting forth the basis for such termination as soon as reasonably practical but in no event longer than ten (10) days after learning of such basis.

ACCEPTANCE
Prior to execution by both parties, this document represents an offer by Exhibitravel.com. Unless Exhibitravel.com otherwise notifies client at any time prior to client's execution of this document, the outlined format and dates will be held by Exhibitravel.com for the client on a first option basis 3 days after this proposal. If the client can not make a commitment prior to that date, the offer will revert to a second option basis or, at Exhibitravel.com's option, the arrangements will be released, in which case neither party will have any further obligations. Upon receipt by Exhibitravel.com of a fully executed version of this Agreement prior to the cut off date or upon Exhibitravel.com's acceptance of a fully executed version of this Agreement after such date, it will be placed on a definite basis and will be binding upon client and Exhibitravel.com.
